These Terms & Conditions (“Terms”) govern your access to and use of https://fiidds.com and the Fiidds application (together, the “Service”) provided by Fiidds(“we”, “us”, or “our”). By creating an account, creating a workspace, or using the Service, you agree to these Terms. If you do not agree to these Terms, please do not use the Service.

Accounts and workspaces

• You must sign in with a supported authentication account and provide accurate and up-to-date information about yourself and, where applicable, your organization.
• A workspace may be created for an individual, business, organization, or team. The person who creates a workspace is responsible for managing its members, permissions, and activities unless otherwise agreed with us.
• Workspace administrators are responsible for inviting only authorized members and assigning appropriate roles and permissions.
• You must be at least 16 years old and legally capable of entering into a binding agreement to use the Service.
• You are responsible for safeguarding your account credentials and for activity carried out through your account. You should notify us promptly if you believe your account has been accessed without authorization.

Acceptable use

You agree not to:

• Violate the terms, policies, community standards, automation rules, or other requirements of any social media platform connected through the Service;
• Publish or distribute unlawful, infringing, fraudulent, deceptive, misleading, hateful, abusive, or harmful content;
• Impersonate another person or organization, misrepresent your affiliation, or publish spam or unsolicited content;
• Use the Service to violate the privacy, intellectual property, or other rights of another person or organization;
• Interfere with or disrupt the Service, probe or test its vulnerabilities, or bypass its security or access controls;
• Attempt to access another user's account, workspace, data, or connected social account without authorization;
• Upload or transmit malware, malicious code, or other material intended to damage or compromise systems;
• Scrape, extract, reproduce, or collect Service data at scale without authorization;
• Use the Service to build, train, operate, or support a competing product where such use is prohibited by applicable law or agreement; or
• Use the Service in a manner that could damage, disable, overburden, or impair the Service or interfere with another user's use of the Service.

Connected social accounts

Fiidds allows you to connect supported social media accounts and pages to your workspace. By connecting an account, you authorize Fiidds to access and perform the actions permitted by the authorization you provide and the applicable platform API.

Depending on the platform and permissions granted, this may include publishing scheduled content, retrieving publishing results, and retrieving information required to provide analytics and other requested features.

You represent and warrant that you have the authority and permission necessary to connect the account and authorize Fiidds to act on your behalf.

You remain responsible for complying with the terms, policies, community standards, advertising rules, automation rules, and other requirements of each connected platform.

We do not guarantee that content submitted through Fiidds will be successfully published. Publishing may fail or be delayed because of platform restrictions, API limitations, outages, rate limits, authentication failures, content restrictions, policy enforcement, or other circumstances outside our control.

Your content

You retain ownership of content that you create, upload, submit, or store through the Service.

You grant us a limited, non-exclusive license to host, store, process, reproduce, transmit, and display your content only as reasonably necessary to operate, provide, secure, maintain, and improve the Service, including transmitting content to the social media platforms you authorize.

This license ends when the relevant content is deleted from the Service, except to the extent that continued processing or retention is required by law, necessary for legitimate security or compliance purposes, or remains temporarily in backups or other systems subject to our retention practices.

You are responsible for ensuring that you have all rights, permissions, licenses, and lawful authority necessary to use and submit the content, media, trademarks, personal information, and other materials you provide through the Service.

Third-party services

Fiidds integrates with third-party platforms and services, including social media platforms and authentication providers. Those services operate independently of Fiidds and may have their own terms, privacy policies, technical requirements, and availability.

Your use of a third-party service through Fiidds remains subject to the applicable third party's terms and policies. We are not responsible for the availability, functionality, policies, decisions, or actions of third-party services outside our control.

Availability and beta status

Fiidds is currently offered in beta. During the beta period, features may be experimental, incomplete, changed, limited, or discontinued, and the Service may contain defects or errors.

We may modify, suspend, restrict, or discontinue any part of the Service at any time, including beta features, for technical, security, operational, business, or development reasons.

We do not guarantee uninterrupted, timely, secure, or error-free operation of the Service.

Fees and payment

Fiidds is currently offered free of charge during the beta period.

If we introduce paid plans, features, usage limits, or other charges, we will provide applicable pricing and billing terms before charging you. Additional product-specific billing terms may also apply.

Termination

You may stop using Fiidds and delete your account or workspace at any time through the available account controls or by contacting us where necessary.

We may suspend or terminate your access to all or part of the Service if you materially breach these Terms, violate applicable law or third-party platform requirements, misuse the Service, compromise its security, or create significant legal, security, or operational risk for us or others.

Where reasonably practicable, we may provide notice before suspension or termination, except where immediate action is necessary to protect the Service, users, third parties, or comply with legal requirements.

Following account or workspace deletion, your data will be handled in accordance with the Fiidds Privacy Policy, including its applicable 30-day deletion process.

Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, or suitability for your particular requirements.

We do not warrant that the Service will always be available, uninterrupted, secure, or error-free, or that every feature will operate without defects.

We do not guarantee that content submitted through Fiidds will be published successfully or at a particular time on any third-party platform. Third-party platforms may reject, delay, modify, restrict, remove, or otherwise act on content independently of Fiidds.

Nothing in these Terms excludes or limits any warranty, right, or protection that cannot lawfully be excluded or limited under applicable law.

Limitation of liability

To the maximum extent permitted by applicable law, Fiiddsand its directors, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings arising from or relating to your use of the Service.

To the maximum extent permitted by applicable law, our aggregate liability arising from or relating to the Service will not exceed the greater of the amounts you paid us for the Service during the twelve months preceding the event giving rise to the claim or USD 100.

We are not responsible for losses or damages caused by third-party platforms, including changes to their APIs, policies, availability, permissions, rate limits, account restrictions, content decisions, or other actions outside our reasonable control.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded under applicable law.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Fiidds, its directors, employees, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Service, your violation of these Terms, your violation of third-party platform rules, or your infringement of another person's rights.

Changes to these Terms

We may update these Terms from time to time as Fiidds, our services, technology, or legal obligations change.

If we make a material change that significantly affects your rights or obligations, we will provide reasonable notice through the Service, by email, or by another appropriate method before the change takes effect where required by applicable law.

Your continued use of the Service after updated Terms take effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Governing law

These Terms are governed by the laws of India, without regard to its conflict-of-law principles.

Subject to applicable law, courts located in Howrah, West Bengal, India will have jurisdiction over disputes arising from or relating to these Terms or the Service.

Nothing in these Terms limits any mandatory consumer protection or other rights that cannot lawfully be waived under applicable law.
